1. Acceptance of Terms

By accessing or using QuizFlex AI (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Service Description & AI Limitations

Quizflex uses artificial intelligence to generate quizzes based on content you supply. AI-generated content may contain inaccuracies, omissions, or bias. You are solely responsible for reviewing, verifying, and editing generated questions, answers, and explanations before use in educational or professional contexts.

3. User Content & Responsibility

  • You retain ownership of content you upload; you grant us a limited license to process it for providing the Service.
  • You represent that you have all necessary rights to the content and that it does not infringe or violate third-party rights or laws.
  • You will not upload prohibited or sensitive data (e.g., PHI, PCI) that is not suitable for AI processing.

3.1. Copyright and Intellectual Property Rights

You are solely responsible for ensuring that any content you upload, submit, or provide to the Service:

  • Is either owned by you, or you have obtained all necessary licenses, permissions, consents, and authorizations to use and authorize us to process such content.
  • Does not infringe, misappropriate, or violate any third party's intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, or moral rights.
  • Does not violate any applicable laws, regulations, or contractual obligations.

By uploading content, you warrant and represent that you have the legal right to do so and that such content does not violate any third-party rights. If you are unsure whether you have the right to use certain content, you should not upload it.

3.2. Prohibited Content

You agree not to upload, submit, or provide any content that:

  • Infringes intellectual property: Copyrighted material (books, articles, course materials, etc.) without authorization, trademarked content, or patented materials.
  • Is illegal or harmful: Content that violates any applicable laws, promotes illegal activities, or contains threats, harassment, or defamatory material.
  • Is restricted or confidential: Proprietary information, trade secrets, confidential business information, or content subject to non-disclosure agreements without authorization.
  • Contains sensitive personal data: Protected health information (PHI), payment card information (PCI), social security numbers, or other highly sensitive personal data not suitable for AI processing.
  • Is inappropriate: Sexually explicit content, graphic violence, hate speech, discriminatory content, or material that promotes harm.
  • Violates academic integrity: Content intended to facilitate cheating, plagiarism, or academic dishonesty.

We reserve the right to remove any content that violates these prohibitions without notice.

3.3. DMCA Copyright Policy

QuizFlex AI respects the intellectual property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to valid notices of alleged copyright infringement.

Filing a DMCA Takedown Notice

If you believe that content on our Service infringes your copyright, please send a written notice to our designated agent:

Your notice must include:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the allegedly infringing material and its location on our Service
  • Your contact information (name, address, phone, email)
  • A statement that you have a good faith belief the use is not authorized
  • A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

Counter-Notification: If you believe your content was removed in error, you may submit a counter-notification. We will forward it to the original complainant, and if no legal action is filed within 10 business days, we may restore the content.

Repeat Infringers: We maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat copyright infringers.

3.4. User Indemnification

You agree to indemnify, defend, and hold harmless QuizFlex AI, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service or violation of these Terms
  • Your content, including any claims that your content infringes or misappropriates any third-party intellectual property rights or violates any laws
  • Your violation of any rights of another user or third party
  • Any AI-generated content you create, use, or distribute based on content you provided

This indemnification obligation will survive termination of your account and these Terms.

4. Accounts, Security & Acceptable Use

  • You must provide accurate information and safeguard your credentials.
  • Do not misuse the Service (no reverse engineering, scraping, or interfering with normal operation).
  • We may suspend or terminate access for violations, suspected fraud, or abuse.

5. Subscriptions, Billing & Taxes

Paid plans are billed via Stripe. Fees are non-refundable except where required by law. You are responsible for applicable taxes. Plan limits (e.g., number of AI generations) may apply; exceeding limits may require an upgrade.

6. Intellectual Property

Our Property: We own the Service, software, technology, trademarks, logos, and brand. You may not use our trademarks, logos, or brand elements without our prior written permission.

Your Content: You retain ownership of the content you upload. However, you are solely responsible for ensuring you have the right to use such content and that it does not infringe third-party rights.

AI-Generated Outputs: You own the AI-generated quizzes and content created from your inputs, subject to your compliance with these Terms. However, you are responsible for reviewing, verifying, and ensuring the accuracy and legality of any outputs before use or publication.

License to Us: By uploading content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, and store your content solely to provide and improve the Service.

7. Disclaimers

THE SERVICE AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIZFLEX AI AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE OR ANY CONTENT YOU UPLOAD OR GENERATE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 3 MONTHS PRECEDING THE EVENT.

No Liability for User Content: We are not responsible for any copyright infringement, intellectual property violations, or other legal issues arising from content you upload or AI-generated content you create, use, or distribute. You assume all liability for such matters.

DMCA Safe Harbor: We operate under the safe harbor provisions of the DMCA. We are not liable for copyright infringement by users, provided we respond appropriately to valid DMCA notices.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access for violations or to protect the Service. Upon termination, your license to use the Service ends.

10. Changes

We may update these Terms by posting a revised version. Continued use constitutes acceptance. If changes are material, we will provide reasonable notice.
